1. Introduction

Welcome to Precious Prints.

These Terms & Conditions ("Terms") govern your use of the Precious Prints website, the purchase of our products and the booking of our in-home imprint services.

Throughout these Terms:

• "Precious Prints", "we", "our" or "us" means Precious Prints Pty Ltd.

• "Customer", "you" or "your" means any person purchasing products or booking services from Precious Prints.

• "Products" means all personalised frames, clay keepsakes and other goods supplied by Precious Prints.

• "Services" means our in-home imprint appointments and any associated services.

By using our website, placing an order, or booking an appointment, you acknowledge that you have read and agree to be bound by these Terms.

These Terms are governed by the laws of New South Wales, Australia.

2. Bookings

Appointments may be requested through our website, email, social media or any other method approved by Precious Prints.

A booking is not confirmed until it has been accepted by Precious Prints.

Booking Deposit

To secure your appointment, a non-transferable booking deposit of $50 is required.

Your appointment date will not be confirmed until the booking deposit has been received.

The $50 deposit will be deducted from the final balance owing for your order.

The remaining balance is payable at your appointment unless otherwise agreed by Precious Prints.

The $50 booking deposit is non-refundable where a booking is cancelled with less than 24 hours' notice, unless Precious Prints determines, in its absolute discretion, that exceptional circumstances justify a refund or transfer of the deposit.

Travel Fees

Our standard service area includes selected Sydney suburbs.

Appointments outside our standard service area may incur a travel fee.

Any applicable travel fee will always be discussed and agreed with you before your booking is confirmed.

3. Cancellations & Rescheduling

We understand that babies, children and pets don't always work to schedule.

If you need to reschedule your appointment, we kindly ask that you provide at least 24 hours' notice wherever possible.

Where less than 24 hours' notice is provided, your $50 booking deposit will be forfeited.

However, Precious Prints understands that genuine emergencies, illness and unforeseen circumstances can arise, particularly with young children. We reserve the right to waive the forfeiture of your booking deposit at our absolute discretion where we consider the circumstances reasonable.

If you need to reschedule due to illness, we will always do our best to arrange another suitable appointment.

4. In-Home Appointments

Our appointments are conducted in your home and generally take approximately 10–15 minutes.

Appointment times are approximate only and may vary depending on the number of prints being taken and the cooperation of babies, children or pets during the appointment.

Customers are responsible for providing a safe environment for our team while the appointment is being conducted.

This includes ensuring:

• safe access to the property;

• a clean and suitable workspace;

• adequate lighting where reasonably possible; and

• that pets not participating in the appointment are appropriately supervised or restrained where necessary.

If, in our reasonable opinion, the environment is unsafe or unsuitable for conducting the appointment, we reserve the right to postpone or discontinue the appointment until the issue has been resolved.

5. Creating Your Imprints

Every Precious Prints keepsake is individually handcrafted using impressions taken from your baby, child or pet.

Because every hand, foot and paw is unique, every finished keepsake will also be unique.

During appointments, babies, children and pets naturally move.

Although we use techniques developed through experience and always take great care when capturing impressions, we cannot guarantee perfectly symmetrical, perfectly centred or identical impressions.

We will always make every reasonable effort to achieve the highest quality result possible during your appointment.

Minor variations in depth, positioning, shape and detail are a natural consequence of working with babies, children, pets and handcrafted materials and do not constitute faults or defects.

6. Natural Clay

Our keepsakes are handcrafted using premium natural clay.

As with any natural material, slight variations may occur during the manufacturing process.

These may include:

• subtle colour variation;

• tiny air pockets;

• minor surface markings;

• small texture differences;

• slight organic imperfections.

These characteristics are normal and are considered part of the unique handcrafted nature of each Precious Prints keepsake.

They are not manufacturing faults or defects.

7. Skin Sensitivities

Our clay is made from premium, all-natural materials and is intended for external use only during the imprinting process.

If your baby, child or pet has known allergies, skin sensitivities or medical conditions that may be relevant to the appointment, please let us know before your appointment so we can discuss whether our service is suitable.

While we have not experienced allergic reactions during normal use of our products, customers should exercise their own judgement where known sensitivities exist.

8. Handcrafted Production

Every Precious Prints frame is individually handcrafted.

Following your appointment, your impressions undergo a detailed production process including drying, kiln firing, sanding, finishing and framing.

Although every care is taken throughout each stage of production, clay is a naturally fragile material and, on rare occasions, impressions may crack or break during the crafting process despite appropriate care being taken.

If this occurs before your order has been completed, Precious Prints will contact you promptly to arrange a complimentary appointment to retake the impressions and remake your keepsake at no additional cost.

This is simply one of the rare risks associated with handcrafted clay products and forms part of our commitment to delivering the highest possible quality keepsake.

9. Photographs

Where your chosen product includes a photograph, you are responsible for supplying the photograph to Precious Prints.

The quality of the image you provide will influence the appearance of the finished product.

We recommend supplying a high-resolution image wherever possible.

Photographs may be changed before production has commenced.

Once production has begun, including where clay has been permanently assembled into the frame, changes to photographs may no longer be possible.

Unless you provide separate consent, photographs supplied to Precious Prints will only be used for the purpose of completing your order.

10. Personalised Information

Customers are responsible for ensuring that all personalised information supplied to Precious Prints is complete and accurate.

This includes, but is not limited to:

• names;

• dates;

• wording;

• colours;

• product selections; and

• spelling.

Please carefully review all information before submitting your order.

Precious Prints cannot accept responsibility for errors resulting from incorrect information supplied by the customer.

11. Personalised Products

All Precious Prints products are individually handcrafted and made to order.

Because our products are personalised specifically for each customer, we do not accept returns, exchanges or refunds where you:

• change your mind;

• order the incorrect product;

• provide incorrect spelling or personalisation details;

• no longer require the product; or

• have changed your personal preferences after production has commenced.

Nothing in this clause limits or excludes any rights you may have under the Australian Consumer Law.

12. Product Colours & Natural Materials

Every Precious Prints keepsake is handcrafted using natural materials.

As a result, slight variations may occur between the finished product and photographs displayed on our website or social media.

Product colours may vary due to:

• natural clay characteristics;

• kiln firing;

• lighting conditions;

• photography;

• screen or monitor settings; and

• the handcrafted nature of each piece.

Where timber frames are selected, variations in timber grain, colour, knots and natural markings are normal and contribute to the uniqueness of each frame.

These natural variations are not faults or defects.

13. Turnaround Times

Our current estimated turnaround time is approximately four (4) weeks from the date of your appointment.

Turnaround times are estimates only and may vary depending on:

• seasonal demand;

• production volumes;

• drying conditions;

• kiln schedules;

• material availability;

• public holidays; or

• other circumstances beyond our reasonable control.

Where significant delays occur, we will make reasonable efforts to keep you informed.

14. Payment

Unless otherwise agreed in writing, payment is due at your appointment.

Ownership of the completed Products remains with Precious Prints until payment has been received in full.

Where payment is not received by the due date, we reserve the right to delay production, withhold dispatch or suspend further work until payment has been made.

15. Shipping & Delivery

For products requiring delivery, Precious Prints carefully packages every order before dispatch.

Delivery is undertaken by independent third-party carriers.

While we take every reasonable step to ensure your order is packaged securely, delivery timeframes are estimates only and cannot be guaranteed.

If your order is lost or damaged during transit, please contact us as soon as reasonably possible so we can work with you and the delivery provider to resolve the issue.

16. Inspection of Your Order

We ask that you inspect your order promptly upon receiving it.

If you believe your Product has:

• been damaged during delivery;

• contains a manufacturing fault; or

• does not match your order,

please contact us within seven (7) days of receiving your order.

Providing prompt notification allows us to investigate the issue and determine the most appropriate solution.

Nothing in this clause limits your rights under the Australian Consumer Law.

17. Australian Consumer Law

Our Products and Services come with guarantees that cannot be excluded under the Australian Consumer Law.

Nothing contained in these Terms excludes, restricts or modifies any rights or remedies you may have under the Australian Consumer Law or any other applicable legislation.

Where a Product or Service fails to meet a consumer guarantee that cannot legally be excluded, you are entitled to the remedies available under Australian law.

18. Limitation of Liability

To the maximum extent permitted by law, Precious Prints' liability is limited to the cost of repairing, replacing or re-supplying the relevant Product or Service, or refunding the amount paid for that Product or Service, where such a remedy is available under applicable law.

Except where liability cannot legally be excluded, Precious Prints is not liable for any indirect, incidental, consequential or special loss or damage, including but not limited to loss of income, loss of opportunity, emotional distress or any other consequential loss arising from or connected with the use of our Products or Services.

Without limiting the above, Precious Prints is not responsible for:

• delays caused by third-party delivery providers;

• delays resulting from circumstances beyond our reasonable control;

• variations resulting from the handcrafted nature of our Products;

• differences in colour caused by photography, lighting or display screens;

• the quality or resolution of customer-supplied photographs;

• spelling, dates or personalisation details supplied incorrectly by the customer; or

• delays caused by customers failing to provide information, photographs or approvals required to complete an order.

Nothing in this clause excludes or limits liability that cannot legally be excluded under the Australian Consumer Law.

19. Intellectual Property

All intellectual property associated with Precious Prints remains the exclusive property of Precious Prints unless otherwise stated.

This includes, but is not limited to:

• our business name;

• logo;

• branding;

• website design;

• photographs;

• product images;

• product designs;

• graphics;

• text;

• marketing material; and

• original content.

No material may be copied, reproduced, distributed, modified, republished or used without our prior written consent.

Customers remain the owner of any photographs supplied to Precious Prints for inclusion in their personalised Products.

By supplying photographs to Precious Prints, you confirm that you have the necessary rights or permission to use those photographs for the purpose of producing your order.

20. Privacy

Your privacy is important to us.

Information about how we collect, use and protect your personal information is set out in our Privacy Policy, which forms part of these Terms.

21. Marketing and Promotional Use

Precious Prints will not use customer-supplied photographs, images of children or pets, or identifiable photographs of completed Products for advertising, social media, promotional material or other marketing purposes without the customer’s prior permission.

Where permission is provided, it may be withdrawn for future use by contacting Precious Prints. Withdrawal will not require us to remove material already printed, published or distributed before the withdrawal was received, although we will make reasonable efforts to remove digital content under our control where requested.

Permission to use an image for marketing does not transfer ownership of the customer’s photograph to Precious Prints.

We may photograph or display Products in a manner that does not identify the customer or reveal private personal information, provided that no identifiable customer photograph is shown without permission.

22. Website Use

You may use the Precious Prints website for lawful personal and commercial enquiries relating to our Products and Services.

You must not:

• use the website for any unlawful, fraudulent or harmful purpose;

• attempt to gain unauthorised access to the website, its systems or connected services;

• introduce viruses, malicious code or other harmful material;

• interfere with the proper operation or security of the website;

• copy, scrape, reproduce or commercially exploit website content without permission;

• submit false, misleading or fraudulent booking or order information; or

• use the website in a way that infringes the rights of Precious Prints or any third party.

We may restrict or suspend access to the website where we reasonably believe these Terms have been breached or where necessary to protect the website, our business or other users.

We do not guarantee that the website will always be available, uninterrupted or free from errors. We may temporarily suspend access for maintenance, security, technical updates or circumstances beyond our reasonable control.

23. Website Information and Product Availability

We take reasonable care to ensure that information displayed on our website is accurate and current.

However, photographs, descriptions, pricing, availability, measurements, colours and other product information are provided as a general guide and may be updated from time to time.

Because our Products are handcrafted, the finished Product may vary slightly from examples shown on the website or social media.

Displaying a Product or Service on our website does not guarantee that it is currently available.

We reserve the right to:

• change or discontinue a Product or Service;

• correct an error in a description, price or other information;

• limit the number of orders accepted;

• decline an order where a Product is unavailable; or

• withdraw an offer before an order has been accepted.

Where an order has been paid for and we are unable to supply the relevant Product or Service, we will contact you and provide an appropriate refund or alternative arrangement.

24. Acceptance and Refusal of Orders

An order or booking request submitted through our website, social media, email or another communication channel is an offer by the customer to purchase the relevant Products or Services.

We may accept or decline an order or booking request at our reasonable discretion.

We may decline or cancel an order where:

• required information is incomplete or inaccurate;

• payment has not been received;

• a Product, material or appointment time is unavailable;

• the requested Product or personalisation cannot reasonably be produced;

• the delivery or appointment location falls outside an area we can service;

• we reasonably believe the transaction may be fraudulent;

• the customer has previously failed to pay an amount owing;

• the appointment cannot be performed safely; or

• an obvious pricing or website error has occurred.

If we cancel an accepted order for reasons unrelated to a breach by the customer, we will refund amounts paid for the part of the order that cannot be supplied.

25. Customer Responsibilities

Customers must provide information that is complete, accurate and current.

You are responsible for:

• checking all names, dates, wording, colours and product selections before submitting an order;

• ensuring that an adult is present during an in-home appointment;

• appropriately supervising babies, children and pets;

• informing us of any relevant allergies, sensitivities, medical concerns or behavioural issues before the appointment;

• providing safe and reasonable access to the appointment location;

• supplying suitable photographs and confirming that you are authorised to use them;

• responding within a reasonable time when further information is required; and

• paying all agreed amounts when due.

We are not responsible for delay, error or additional cost caused by incomplete, inaccurate or late information supplied by the customer.

Where a customer requests a change after production has commenced, we may decline the change or charge a reasonable additional fee to cover materials, labour or work already completed.

Any additional fee will be discussed before further work proceeds.

26. Care of Completed Products

Clay impressions and framed Products are decorative keepsakes and should be handled with care.

Customers should:

• avoid dropping or striking the Product;

• keep it away from excessive moisture, heat and direct prolonged sunlight;

• use suitable wall fixings where the Product is hung;

• ensure wall mounting is appropriate for the Product’s size and weight; and

• keep fragile Products out of reach of young children and pets.

Unless installation has been expressly included in the Service, Precious Prints is not responsible for hanging, mounting or installing Products.

To the extent permitted by law, we are not liable for damage caused after delivery by accidental impact, incorrect installation, unsuitable wall fixings, moisture, heat, mishandling or normal wear and tear.

This clause does not limit any rights under the Australian Consumer Law in relation to a fault that existed when the Product was supplied.

27. Risk and Ownership

Legal ownership of a Product remains with Precious Prints until all amounts owing for that Product have been paid in full.

For Products collected directly from Precious Prints, responsibility for the Product passes to the customer upon collection.

For delivered Products, we remain responsible for packaging the order with reasonable care and arranging delivery through an appropriate third-party carrier.

If a delivery problem occurs, we will work with the customer and the carrier to investigate and resolve it in accordance with these Terms and the Australian Consumer Law.

The customer must provide a complete and accurate delivery address. Precious Prints is not responsible for delay, non-delivery or additional charges caused by an incorrect or incomplete address provided by the customer.

Where a parcel is returned due to an incorrect address, failed delivery or failure to collect, the customer may be required to pay reasonable redelivery costs before it is sent again.

28. Gift Cards and Promotional Offers

Where Precious Prints offers gift cards, promotional codes, discounts or special offers, any additional conditions displayed with that offer also apply.

Unless otherwise stated:

• gift cards are not redeemable for cash;

• promotional codes cannot be combined;

• discounts apply only during the stated promotional period;

• offers are subject to availability;

• promotional discounts cannot be applied retrospectively; and

• delivery or travel fees may be excluded from the discount.

Gift cards will be issued and redeemed in accordance with applicable Australian law, including any mandatory minimum expiry period.

If an order exceeds the value of a gift card, the remaining balance must be paid using another accepted payment method.

29. Third-Party Services and Links

Our website and business operations may use or link to third-party services, including payment processors, website providers, analytics services, social media platforms and delivery providers.

Those third parties operate under their own terms and privacy policies.

Precious Prints is not responsible for the content, availability, security or practices of a third-party website or service that is not under our control.

A link to another website does not mean that Precious Prints endorses that website or all information, products or services available through it.

This clause does not affect any responsibility we have under the Australian Consumer Law for Products or Services supplied by Precious Prints.

30. Force Majeure

Precious Prints will not be responsible for delay or failure to perform an obligation where that delay or failure is caused by an event beyond our reasonable control.

Such events may include:

• natural disasters;

• fire, flood or severe weather;

• pandemic, epidemic or public health restrictions;

• war, terrorism, civil unrest or government action;

• industrial disputes;

• power, internet or telecommunications failure;

• transport or postal disruption;

• supplier or material shortages;

• kiln failure or essential equipment breakdown;

• illness or incapacity affecting essential personnel; or

• any other event that could not reasonably have been prevented or avoided.

Where a force majeure event occurs, the affected obligations will be suspended for the period reasonably required to manage the event.

We will make reasonable efforts to:

• notify affected customers;

• minimise delay;

• resume performance as soon as reasonably practicable; and

• provide an alternative arrangement where one is reasonably available.

If a force majeure event prevents us from completing an order for an extended period, either party may request cancellation of the uncompleted portion of the order.

Where cancellation is agreed, we will refund amounts paid for Products or Services that have not been supplied, less any amount that may lawfully be retained for personalised work already completed, subject always to the Australian Consumer Law.

31. Communications

You consent to receiving communications reasonably necessary to manage your enquiry, booking, appointment, order, payment, production and delivery.

These communications may be sent by email, telephone, text message or social media message using the contact details you provide.

You are responsible for ensuring your contact details remain accurate and for checking messages relating to your booking or order.

Marketing communications will only be sent where permitted by law. You may unsubscribe from marketing communications at any time using the unsubscribe method provided or by contacting us.

Unsubscribing from marketing does not prevent us from sending transactional or service-related communications about an active booking or order.

32. Complaints and Dispute Resolution

We want customers to be happy with their Precious Prints experience.

If you have a concern or complaint, please contact us promptly and provide:

• your name;

• your order or appointment details;

• a description of the issue;

• relevant photographs, where appropriate; and

• the outcome you are seeking.

We will review the matter in good faith and make reasonable efforts to respond within a practical timeframe.

The parties agree to attempt to resolve a dispute through direct communication before commencing formal legal proceedings, except where urgent relief is required or a party is exercising a right that cannot lawfully be restricted.

Nothing in this clause prevents a customer from contacting NSW Fair Trading, the Australian Competition and Consumer Commission, a court, tribunal or another relevant authority.

33. Changes to These Terms

We may update these Terms from time to time to reflect changes to:

• our Products or Services;

• business practices;

• website functionality;

• payment or delivery arrangements;

• legal or regulatory requirements; or

• other operational matters.

The current version will be published on our website with the date it was last updated.

The Terms applying to a particular order or booking will generally be the version in effect when that order or booking was accepted, unless:

• a change is required by law;

• the parties agree otherwise; or

• the change benefits the customer and does not materially disadvantage them.

Continued use of the website after updated Terms are published constitutes acceptance of the updated Terms for future use, orders and bookings.

34. No Waiver

If Precious Prints does not immediately enforce a right under these Terms, that does not mean we have waived that right.

A waiver is only effective if it is clearly given in writing.

A waiver relating to one breach or circumstance does not operate as a waiver of any later breach or different circumstance.

35. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be read down to the minimum extent necessary to make it valid and enforceable.

If it cannot be read down, it will be severed from these Terms.

The remaining provisions will continue in full force and effect.

36. Entire Agreement

These Terms, together with:

• the details of the accepted order or booking;

• any written quotation;

• any product-specific conditions;

• our Privacy Policy; and

• any written variation agreed by Precious Prints,

form the entire agreement between the customer and Precious Prints in relation to the relevant Products or Services.

They replace any previous discussions, representations or understandings relating to the same subject matter.

Nothing in this clause excludes liability for fraud, misleading or deceptive conduct, or any right that cannot be excluded under law.

37. Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

Precious Prints may transfer or assign its rights and obligations as part of a genuine sale, restructure or transfer of the business, provided that doing so does not reduce any non-excludable rights available to the customer.

38. Relationship Between the Parties

Nothing in these Terms creates a partnership, employment relationship, agency, fiduciary relationship or joint venture between Precious Prints and the customer.

Neither party has authority to bind the other except as expressly stated in writing.

39. Governing Law and Jurisdiction

These Terms are governed by the laws of New South Wales, Australia.

The parties submit to the non-exclusive jurisdiction of the courts and tribunals of New South Wales and any courts entitled to hear appeals from them.

Customers may also have rights to bring a claim in another jurisdiction where required or permitted by applicable consumer law.
